These Terms and Conditions (“Terms”) govern your access to and use of the Spot Pay Parking website, SMS program, and related services (collectively, the “Service”), operated by Spot Pay Parking (“we,” “us,” or “our”). By using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of Service
Spot Pay Parking allows customers to pay for parking at participating parking lots by scanning a QR code, verifying their phone number, and completing payment online, without requiring an app download. Spot Pay Parking also provides parking lot owners with tools to manage lots, pricing, sessions, staff, and payouts. Spot Pay Parking is a technology platform; parking lots displayed on the Service are owned and operated by independent third-party lot owners, not by Spot Pay Parking.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements.
3. Accuracy of Information
You are responsible for providing accurate vehicle and session information when initiating a parking session. Parking sessions are tied to the vehicle information you provide; inaccurate information may result in parking enforcement action by the lot owner, for which Spot Pay Parking is not responsible.
4. Payments and Fees
When you pay for parking through the Service, you authorize us to charge your payment method for the parking rate set by the lot owner, plus a convenience fee retained by Spot Pay Parking. All fees are disclosed before you complete payment. Payments are processed securely by Stripe. By submitting a payment, you represent that you are authorized to use the payment method provided.
5. Refunds and Cancellations
Parking session fees are generally non-refundable once a session has begun, except where required by law or at the discretion of the parking lot owner or Spot Pay Parking. To request a refund or dispute a charge, contact us using the information in Section 15. We may extend a session or issue a refund at our sole discretion in cases of technical error.
6. Text Messaging Terms
By providing your mobile number and requesting a one-time passcode to complete payment, you consent to receive transactional text messages from Spot Pay Parking, including verification codes, session confirmations, expiration warnings, and reply-to-extend messages. Message frequency varies based on your activity. Message and data rates may apply. Reply STOP to cancel and HELP for help. Carriers are not liable for delayed or undelivered messages. 7. Parking Lot Owner Terms
Parking lot owners who register for the Service agree to provide accurate lot, pricing, and payout information, to maintain the security of their administrative account credentials, and to comply with Stripe Connect’s terms of service as a condition of receiving payouts. Spot Pay Parking retains a convenience fee, disclosed to lot owners, on each transaction processed through the Service.
8. Prohibited Conduct
You agree not to:
- Use the Service for any unlawful purpose;
- Provide false vehicle, payment, or identity information;
- Attempt to interfere with, disrupt, or gain unauthorized access to the Service or its systems;
- Use the Service to process payments you are not authorized to make; or
- Reverse engineer or resell access to the Service.
9. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to other users, us, or third parties.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. SPOT PAY PARKING DOES NOT OWN OR OPERATE THE PHYSICAL PARKING LOTS LISTED ON THE SERVICE AND IS NOT RESPONSIBLE FOR THE CONDITION OF ANY LOT, VEHICLE DAMAGE, THEFT, OR PARKING ENFORCEMENT ACTIONS TAKEN BY LOT OWNERS.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SPOT PAY PARKING AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT OF FEES YOU PAID TO SPOT PAY PARKING IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
12. Indemnification
You agree to indemnify and hold harmless Spot Pay Parking and its owners, employees, and agents from any claims, damages, or expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
13. Dispute Resolution and Governing Law
These Terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved through the state or federal courts located in Oklahoma County, Oklahoma, and you consent to personal jurisdiction and venue there. Before filing a claim, you agree to first contact us at the address in Section 15 so we can attempt to resolve the dispute informally.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be reflected by updating the “Effective Date” above. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
